Setting up a limited liability company involves a lot of formalities that must be completed and decisions that must be made. Therefore, it is worth knowing, for example, the costs of establishing a limited liability company.

Choice of the legal form of activity

When establishing a company, the first choice to be made is the choice of the legal form of the enterprise. In Poland, economic activity may be conducted in the following forms:

  • sole proprietorship,

  • limited liability company,

  • partnership,

  • general partnership,

  • a partnership,

  • partnership Limited by shares,

  • joint-stock company.

In the case of limited liability companies, partners are not responsible for the company's obligations with private property. This is a significant argument that convinces entrepreneurs to set up a company in the form of a limited liability company.

Limited liability company notary fees

The first fee to be paid is the notarial fee for drawing up the articles of association in the form of a notarial deed required by the provisions. The amount of such a sum depends on the amount of the share capital, but entrepreneurs with a really large initial contribution may take some comfort in the maximum rates specified by the Minister of Justice in the regulation.

The costs of the contract also include the fee for write-offs - when establishing a company, two such documents must be drawn up in order to submit them to the National Court Register and to the tax office. For each started page of the text, the taxpayer will pay 6 PLN net.

Fees related to the entry of a limited liability company to the National Court Register

When entrepreneurs receive the contract and notarial copies, they should go to the National Court Register (KRS). This is where the next expenses appear - the court fee for the application for registration in the amount of PLN 500 and the fee for the announcement in the Court and Economic Monitor in the amount of PLN 100.

General partnerships, limited partnerships and limited partnerships may benefit from a reduced fee of PLN 250, if the partnership agreement was concluded using contract templates made available in the ICT system.

The fee for an announcement in MSIG does not change and amounts to an additional PLN 100.

Tax on civil law transactions when establishing a limited liability company

Another necessary expense relates to the tax on civil law transactions. Its amount is 0.5% of the share capital, but - fortunately for the entrepreneur - less:

  • cost of creating a limited liability company agreement in the form of a notarial deed and copies thereof,

  • entry in the National Court Register,

  • announcement in the Court and Economic Monitor.

The received amount is rounded to full zlotys. This tax must be paid to the notary who draws up the articles of association of the limited liability company. If the entrepreneur registers the company online, the so-called e-registration, he must remember to pay the tax on civil law transactions on his own.

Fee for notarization of signatures of management board members

The next step is to go to the registry court to notarize the signatures of the company's management board members. At this point, you should be prepared for a fee of PLN 20 for one signature.

Registration of a limited liability company to VAT without paying fees

A limited liability company should also be an active VAT payer - it should therefore be registered. An entrepreneur who registers a limited liability companyto VAT, since 2015, it has been exempt from the resulting fee. In the previous years, this fee was PLN 170. This means that the obligation to confirm the registration using the VAT-R form has been abolished.

However, if the entrepreneur wants to obtain confirmation of registration for VAT, despite the lifting of this obligation, he will be obliged to pay a fee in the amount of PLN 170.

Other costs when setting up a limited liability company

If necessary, it is also possible to obtain additional documents, for which fees are also charged. The simplest example in this case is the appointment of a company's attorney - such action should also be notarized, and its cost is PLN 30.

The above costs do not include those related to legal services. It is not obligatory, but when establishing a limited liability company, it is possible to use such assistance.

In summary, the costs of establishing a limited liability company - assuming that it has a minimum share capital of PLN 5,000 - amount to PLN 2,000. The greater the share capital, the greater the costs of setting up it will be.

The entrepreneur must also remember that if the establishment of the company has not been reported to the registry court within 6 months from the conclusion of the articles of association, it is a limited liability company agreement. is dissolved. The agreement of the limited liability company is also subject to dissolution. in a situation where a court decision refusing to register the activity in the form of a company has become legally binding.
